Practice Area Overview

Whilst capital markets continue to become more complex and dynamic, new products and the development of the local market continue to make Malta an attractive jurisdiction to raise capital. The Malta Stock Exchange is a particularly active player and, in addition to current framework, the Exchange is actively looking at becoming a specialist listing venue for small and medium cap companies from both inside and outside the EU.

Our capital markets department advises clients throughout the entire process, from determining whether a debt or equity issuance is more suitable for the issuer, to admission and trading on a regulated market. Our broad practice means that we are also able to assist prospective issuers with all corporate and commercial work required in the interim, whether this relates to group restructurings, ensuring the correct contractual relationships between the group entities relating to flow of funds as well as getting the issuer compliant from a governance perspective.

We advise on bond and equity issues whether plain vanilla, complex instruments or the more innovative. In recent years we have advised on a number of firsts, including spin-offs and the only securities listing of a foreign issuer on the main Maltese market. Once listed, we typically remain on board as advisors to advise on the issuer’s continuing obligations. Lastly, we regularly advise the regulator and participate in conferences/lectures on the subject.

  • Advising on the best possible structure and various legal issues that may arise in relation to the issue
  • Drafting of step-plan for proposed issuance and introductions/meetings with regulator, financial advisers, valuers, sponsors, brokers, trustees etc.
  • Review and drafting of necessary amendments to the company’s articles, including all amendments required in terms of the Capital Markets Rules
  • Drafting of prospectus and advising in relation to all legal matters relating thereto
  • Advising on and drafting all corporate governance manuals and requirements
  • Advising on and drafting of all necessary legal or contractual documentation required
  • Attendance and advice at meetings with shareholders and directors
  • Advice related to directors’ duties and responsibilities
  • General commercial advice

Mamo TCV Advocates Attends Ringing of the Bell Ceremonies at the Malta Stock Exchange

Mikiel Calleja, Laura Spiteri, and Martina Bonnici attended the ringing of the bell ceremonies for Agora Estates plc and Camilleri Finance plc at the Malta Stock Exchange. Held on the 2 April 2024, the ringing of the bell ceremony for Agora Estates plc, a first time issuer, marked its successful listing on the Malta Stock Exchange’s Official List.
